1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Clear Photon ("we," "us" or "our"), concerning your access to and use of the website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

The Content and the Marks are provided on the Site "AS IS" for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms of Service
• You will not access the Site through automated or non-human means
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable law or regulation

4. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection
• Make unauthorized use of the Site
• Use the Site to advertise or offer to sell goods and services
• Engage in unauthorized framing of or linking to the Site
• Harass, annoy, intimidate, or threaten any of our employees or agents
• Attempt to impersonate another user or person
• Upload or transmit viruses, malware, or any other malicious code

5. Products and Services

Clear Photon provides femtosecond laser workstations and related services including, but not limited to:

• Workstation Sales: Purchase of CP-Series femtosecond laser workstations (laser source excluded - customer provided)
• Try it Out Program: Rental services starting from €5,000/month for testing workstations in your laboratory
• Job Shop Services: Outsourced femtosecond laser processing through our global network of application labs
• Process Development: Custom development and optimization of laser processing parameters for specific applications
• Feasibility Studies: Technical assessments of material compatibility and process viability
• Laser Source Sourcing: Assistance in selecting and procuring appropriate femtosecond laser sources

Information provided on the Site is for general informational purposes only and does not constitute a binding offer or quote. Specific product purchases, rental agreements, and service engagements will be governed by written agreements between Clear Photon and the client.

All workstations are sold without laser sources and are designed to be integrated with customer-provided femtosecond lasers. Clear Photon is not responsible for the procurement, performance, or warranty of laser sources unless explicitly stated in a separate agreement.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7. Product Disclaimers and Warranty

Clear Photon workstations are precision instruments intended for use by trained professionals in controlled laboratory environments. Users are responsible for:

• Proper integration of compatible femtosecond laser sources
• Adherence to laser safety regulations and local laws
• Appropriate training and certification for laser operation
• Maintenance and calibration according to manufacturer specifications

Product warranties, if any, will be specified in separate purchase or rental agreements. Information on the Site regarding product specifications and capabilities is subject to change without notice.

8. Governing Law

These Terms of Service and your use of the Site are governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Site.
